Terms of Use
These terms cover use of this website and explain the basis on which Stratafound Platform Works discusses and provides consultancy services. A signed statement of work or services agreement takes priority for a specific engagement.
Effective date: 29 October 2026
Using this website
You may use this site for lawful business purposes and must not interfere with its operation, attempt unauthorised access, introduce malicious code or misuse information on the site. We may restrict access where reasonably needed to protect the service or other users.
Website information
We take care to make the information on this site useful and current, but it is general information rather than technical, security, financial or legal advice for your particular environment. Cloud decisions depend on the facts of each organisation. Verify important information and obtain appropriate advice before acting on it.
Project terms and acceptance
Consultancy services are provided under a written proposal, statement of work or services agreement accepted by both parties. That document should identify the scope, assumptions, deliverables, timetable, fees, client responsibilities, acceptance process, change control, security requirements and any support coverage. Neither a contact form nor an introductory discussion commits either party to a project.
Each party will provide the access, information and decisions reasonably needed for agreed work. Changes to scope or dates should be agreed in writing. Unless an engagement document says otherwise, deliverables are accepted when they materially meet the stated acceptance criteria or when the client uses them in production.
Fees, cancellation and dependencies
Fees, payment dates, expenses, cancellation rights and applicable taxes are set out in the engagement document. A client remains responsible for third-party cloud and software charges unless the written agreement expressly states otherwise. Delivery dates depend on timely access, decisions and third-party services; material dependencies will be raised as they become known.
Intellectual property
Each party retains intellectual property it owned or developed independently before an engagement. Unless the written agreement provides otherwise, client-specific deliverables created and paid for under a project are licensed to the client for its internal business use, including the right to modify and operate them. Stratafound retains its reusable methods, know-how, templates and general tools, while granting the client a licence to any such material included in a deliverable to the extent needed to use that deliverable. Third-party software and open-source materials remain subject to their own licences.
You retain rights in materials you provide and confirm that you are entitled to provide them for the agreed work. Neither party may use the other party's name, logo or confidential work as a public endorsement without written permission.
Confidentiality and data
Each party will use reasonable care to protect information identified as confidential or that should reasonably be understood to be confidential, and will use it only for the relevant business relationship. These obligations do not apply to information that is public without breach, independently developed or lawfully received without restriction. Personal information is handled as described in the Privacy Policy and, where appropriate, additional written data-processing terms.
Warranties and liability
Services will be performed with reasonable skill and care. Except for that commitment and any terms that cannot lawfully be excluded, the website and general information are provided without a promise that they will be uninterrupted, error-free or suitable for a particular purpose.
To the extent permitted by law, neither party is liable to the other for indirect or consequential loss, loss of anticipated profit, revenue, goodwill or data, or loss arising from business interruption. Each party's total liability arising from a particular engagement will be limited to the fees paid or payable for that engagement during the 12 months before the event giving rise to the claim. This limit does not apply to liability that cannot legally be limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that applicable law prohibits limiting.
Nothing in these terms removes a consumer or other right that cannot lawfully be excluded. The written project agreement may set a different risk allocation and takes precedence for that engagement.
Third-party services and links
Cloud platforms, software and external websites are operated by their respective providers and may have separate terms. Stratafound is not responsible for third-party services outside its control. A link is provided for convenience and is not an endorsement.
Suspension and termination
Either party may end an engagement as stated in its written agreement. If no termination terms are stated, either party may give 30 days' written notice. A party may suspend affected work or terminate immediately for a material breach that remains unremedied 14 days after written notice, or where continuing would create a material security or legal risk. Fees for work performed and agreed non-cancellable costs remain payable.
Changes and governing law
We may update these website terms by publishing a revised version with a new effective date. Changes do not retrospectively alter a signed project agreement. These terms and non-contractual obligations connected with them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to any mandatory rights that apply.
